Terms of Service

These terms cover work Prizmek carries out for you. Where we've given you a written quote or a signed agreement, that document takes priority over anything here.

1. Who these terms are with

Prizmek, of Nassau, The Bahamas ("we", "us"). "You" means the person or business engaging us.

2. Quotes and scope

Quotes are given in writing and are valid for 30 days unless stated otherwise. A quote covers the work described in it. If what's needed changes once we're underway, additional pages, extra cable runs, hardware that turns out to be faulty. We'll tell you what it changes about the price before we do the work, not after.

Site assessments and walkthroughs carried out before a quote are free and carry no obligation.

3. Web design and hosting plans

What's included

Monthly plans include design, build, hosting, SSL, the business email accounts stated in your plan, and the number of updates stated in your plan. Everything included is listed on the Web Design & Hosting page.

Domain ownership

Domains we register for you are registered in your name. We manage them so you don't have to track renewals. You may take the domain elsewhere at any time and we will assist with the transfer once a written agreement for transfer of ownership has been made.

Your content

You keep ownership of the text, images, logos and other material you supply. You confirm you have the right to use what you give us. We keep ownership of any underlying templates or code libraries we reuse across projects, and grant you an unrestricted licence to use them as part of your site for as long as you like.

Cancellation

No long-term contract. Either of us may end a plan with one month's written notice. We do not hold your site or domain against unpaid amounts unrelated to them.

Availability

We monitor hosted sites and act on outages promptly. We do not guarantee uninterrupted availability and we're not liable for downtime caused by upstream providers, network failures outside our control, or events beyond our reasonable control.

Acceptable use

Sites we host may not be used for unlawful material, malware distribution, bulk unsolicited email, or content infringing someone else's rights. We may suspend a site that breaches this, and will tell you why.

4. Managed IT and support services

Managed plans are scoped to an agreed environment, an agreed number of machines, users and sites. Adding to that environment changes the price, and we'll agree the change in writing first.

We'll maintain backups where your plan includes them, and verify they're working. You remain responsible for telling us about systems or data you need covered. We can't protect what we haven't been told exists.

Response targets, where quoted, are targets rather than guarantees, and apply during agreed service hours.

5. Installation work

For networking, AV and arcade installations, you're responsible for providing safe access to the site and for any landlord or building consents required. Where we supply hardware, manufacturer warranties pass to you. Our workmanship is warranted for 90 days from completion.

6. Payment

Monthly plans are billed monthly in advance. Project work is billed as set out in the quote. Invoices are due within 14 days unless agreed otherwise.

If an account falls significantly overdue we may pause work and, after notice, suspend hosted services. We'll always contact you before doing so.

7. Liability

We'll carry out our work with reasonable skill and care. Our total liability in connection with any engagement is limited to the amount you paid us for the work in question over the preceding twelve months. We're not liable for indirect or consequential loss, including lost profits or lost business.

Nothing here limits liability that cannot lawfully be limited.

8. Confidentiality

We treat your systems, credentials and business information as confidential and will not disclose them except where required to deliver your services or by law. Handling of personal information is covered in our privacy policy.

We may reference our work for you as a portfolio example. If you'd rather we didn't, tell us and we won't.

9. Changes to these terms

We may update these terms. For ongoing plans, we'll give you at least 30 days' notice of any material change, and you may cancel within that period if you don't accept it.

10. Governing law

These terms are governed by the laws of The Commonwealth of The Bahamas, and the Bahamian courts have jurisdiction over any dispute.
